Establishing a DAO-LLC is easier than you might think.
As of July 1, 2021, Wyoming became the first state in the USA to enable registration of
decentralized autonomous organizations that are governed and managed by smart contracts
rather than the typical member-managed or manager-managed structures of other LLCs. With
the combination of Wyoming’s form document for the DAO LLC Articles of Organization and
MBC’s Addendum to that form, you can go step-by-step to do your own filing, or you can get a
headstart for your lawyer. You only need one organizer to sign the formation document, and that
person does not need to be a member of the DAO LLC.
If you want, you can have any or all the services we provide for traditional LLCs: registered
agent service; use of our business center’s physical and mailing address at the base of Snow King
Mountain (different from our company’s registered agent address); mail scanning and/or
forwarding.

- $102 for the Wyoming Secretary of State filing fee for your new Wyoming DAO LLC
- $100 for our first year Wyoming Registered Agent fee (includes your right to use our Addendum)

- $500 for our annual Wyoming address/Mail Forwarding/Scanning Service for up to 50 pieces
of mail per month; international postage and courier fees are extra (also add $240 annually if you

Per our Wyoming state statutes, we will need a completed and confidential Wyoming registered agent DAO contract emailed back to us which can be download here.

- Any person may form a DAO (no need to be a US citizen or resident)
- The person forming the DAO “need not be a member of the organization” W.S. 17-31-105(a)
- LLC Membership Interest may be defined by smart contract in terms of digital tokens
- Management of the DAO can be either member-managed or algorithmically managed by smart
contract - Voting can be administered by smart contract
- The DAO does not have to be completely decentralized at time of formation – on the contrary,
Wyoming’s DAO Supplement law requires that the DAO’s “smart contracts are able to be
updated, modified or otherwise upgraded” W.S. 17-31-105(d)
